GENERAL TERMS AND CONDITIONS OF SALE

ARTICLE 1 – SCOPE OF APPLICATION

These General Terms and Conditions of Sale (hereinafter referred to as "T&Cs") apply, without restriction or reservation, to all sales concluded between:

  1. The company TAPE A L’OEIL, , a simplified joint-stock company with variable capital, headquartered at WASQUEHAL (59290) – FRANCE, 24 Avenue du Grand Cottignies, registered in the Trade and Companies Register of LILLE METROPOLE under number 389 632 639.

    Hereinafter referred to as "TAO"

  2. Any person wishing to purchase the Products offered for sale by TAO on its website www.taokids.com or via its MyTAO application for the purchase of new products.

    Hereinafter referred to as "the Client"

TAO declares its commitment to the following organizations:

  • REFASHION under number FR219181_11PXYO
  • ECO-MAISON under number FR219181_12JRGE

Prior to placing their order, the Client declares that:

  • The purchase of Products on the website www.taokids.com or via the MyTAO application (hereinafter referred to as "the Site") is unrelated to their professional activity and is limited to strictly personal use.
  • They have full legal capacity, allowing them to engage under these T&Cs.

CThese conditions apply to the exclusion of any other terms, including those applicable to in-store sales or other distribution and marketing channels.

These T&Cs are accessible at all times on the Site and shall prevail, where applicable, over any other version or contradictory document.

Unless proven otherwise, the data recorded by TAO constitutes proof of all transactions.

By placing an order on the Site, any individual (or entity) fully and unreservedly accepts these T&Cs, which is expressly acknowledged by the Client, who waives the right to rely on any contradictory document that would be unenforceable against TAO.

TAO may unilaterally modify these T&Cs, with the applicable version being the one available on the Site at the time the order is confirmed.

ARTICLE 2 – PRODUCTS

2.1. Products for Sale

The Products offered for sale are those available at the time the Client confirms and pays for the order. This Product offering may be modified at any time by TAO, which reserves the right to add, modify, or remove Products from the Site.

The Product descriptions, including information, characteristics, photographs, texts, and graphics, are non-binding and cannot hold TAO liable. TAO undertakes to present the Products on its Site in compliance with legal requirements and as accurately as possible. However, the Client acknowledges and accepts that perfect representation of the Products cannot be guaranteed. TAO shall not be held responsible for non-material differences, such as color or texture variations due to internet browsing software and/or display monitors.

2.2. Product Availability

TAO undertakes to honor orders received within the limits of available stock. The Client acknowledges that Product availability may vary significantly within a short period depending on sales.

TAO will provide necessary updates to ensure the Site remains as current as possible, informing Clients about stock levels and indicating the unavailability of Products on the relevant product page and in the order summary.

TAO shall not be held liable in the following cases, as acknowledged and accepted by the Client:

  • In the event of discrepancies between the Site display and actual stock availability.
  • For failure to execute an order due to stock depletion or Product unavailability.
  • In cases of force majeure and/or
  • Disruptions, including total or partial strikes affecting shipping services, transportation, and communications.

ARTICLE 3 – ORDERS

Orders are placed on the Site. The Client proceeds to the : selection of the desired Products, add of the Products to its cart, and payment for the order on the secure payment interface.

The order will only be definitively recorded upon the final validation of the payment screen. The sales contract will be binding and final only after TAO sends the Client an email confirming the acceptance of the order, which serves as proof of the order and the payment due for the ordered Products. This validation constitutes a signature and full acceptance of all operations carried out on the Site.

TAO shall not be held liable for errors in the Client's email address input. The Client is also advised that this confirmation email may arrive in their spam folder and is fully responsible for checking this folder.

The Products remain the property of TAO until full payment is received. Delivery times begin from the payment date.

ARTICLE 4 – PRICING

The Products are provided at the rates in effect on the Site at the time the order is registered by TAO.

Prices are expressed in Euros, inclusive of VAT, and account for the VAT applicable on the order date. Any changes in the VAT rate may be reflected in the Product prices without prior notice to the Client. These rates are firm and non-revisable.

Delivery fees are not included in the price. They are billed in addition, as specified on the Site and calculated before the order is placed. The amount charged to the Client corresponds to the total purchase price, including these fees.

ARTICLE 5 – PAYMENT TERMS

5.1 Methods of Payment

The price is payable in full at the time of order placement, whether online or in-store. TAO shall not deliver the ordered Products unless the Client has paid the total price as outlined below.

  • Payment via PayPal: Payments made through PayPal are debited at the time the order payment is validated.
  • Payment via Credit Card: Payments made with a credit card are debited at the time the order payment is validated.
  • Payment via TAO Gift Card (old and new generation): The Client must input the gift card number during online payment. For in-store payments, the gift card must be physically presented.
  • Payment via Apple Pay and Google Pay: Available exclusively on the MyTao application.
  • Payment via Shopping Pass Gift Cards/Checks - CADHOC, ILLICADO, BIMPLI SWILE, GLADY, TIR GROUPE, EDENRED: Payments using these gift cards/checks are only accepted in-store, not online. No other formats of gift cards/checks will be accepted.

Prohibited Payment Methods:

Bank checks are not accepted within TAO's network, both in-store and online.

TAO reserves the right to suspend or cancel the delivery of orders if the payment terms outlined above are not respected.

To ensure payment security, TAO uses a secure payment service. Banking data is encrypted (SSL security standard) and does not circulate openly on the internet.

The Client is solely responsible for securing their banking data. TAO will not be held liable for identity theft or fraudulent use of the Client’s banking information.

5.2 Specifics Related to the TAO Gift Card

5.2.1 Purchase of the TAO Gift Card

The TAO Gift Card is exclusively sold in Tape à l’Œil stores. There are no authorized resellers or online sales for this product. Any purchase made outside these stores is deemed fraudulent, for which the Client is fully informed.

The Client acknowledges that purchasing a TAO Gift Card outside a Tape à l’Œil store renders them solely responsible for the consequences of fraud. TAO bears no responsibility and will not owe any compensation to the Client.

The TAO Gift Card price can be paid in cash or by credit card. Gift Cards can be credited with an amount ranging from €10 to €250 at the time of purchase.

The TAO Gift Card cannot be refunded after purchase. The initial or available credit cannot be exchanged for cash or reimbursed in any manner.

5.2.2 Use of the TAO Gift Card

Any purchase or use of the TAO Gift Card implies full acceptance by the purchaser and user of these terms and conditions, which are available for consultation in TAPE A L'OEIL stores, on the back of the TAO Gift Card and on the website www.taokids.com.

Validity: The TAO Gift Card can only be used for purchasing products in Tape à l’Œil stores located in France or on the website www.taokids.com.

The TAO Gift Card is valid for one year from the date of purchase. Its expiry date is indicated on the TAO Gift Card activation ticket and can be obtained on request at the cash desk or from customer service. The customer can also consult the balance and history of purchases made on the www.taokids.com website. This validity period cannot be extended. After expiry of this date, the TAO Gift Card can no longer be used to purchase TAPE A L'OEIL products and the unused balance cannot be claimed.

Terms of Use: The TAO Gift Card allows its holder to make purchases up to the initial and maximum amount of €10 to €250 (according to the prepaid amount indicated on the TAO Gift Card activation receipt, which can be communicated to the holder upon simple request at checkout or to customer service using the number printed on the back of the card).

The TAO Gift Card can be used in one or more transactions until the balance is fully spent.

If the price of the products purchased with the TAO Gift Card is less than the initial value, this price will be deducted from the initial amount, and the available balance will correspond to the difference between the previous balance and the purchase amount. The remaining balance of the TAO Gift Card will be printed on the “TPE” receipt provided during purchases. This balance may also be communicated to the holder upon simple request at checkout.

If the price of the products purchased with the TAO Gift Card exceeds the initial balance or, as the case may be, the available balance, the difference can be paid in cash or by any payment method accepted by Tape à l’Œil stores.

Once the validity date has expired, or the balance is depleted, the TAO Gift Card may be destroyed. However, if you made a purchase on the website www.taokids.com and need to be refunded, it is strongly advised to keep the TAO Gift Card as the refund will automatically be made to the payment method used during the purchase.

5.2.3 Responsibility

The TAO Gift Card is not nominative, and the responsibility for its use lies solely with its holder.

Tape à l’Œil cannot be held liable for the loss, damage, or theft of the TAO Gift Card. Therefore, Tape à l’Œil will not proceed with any replacement or reimbursement.

The TAO Gift Card is sold for personal, non-professional use. Any resale of a TAO Gift Card is strictly prohibited and may result in a fraud complaint from Tape à l’Œil.

Similarly, the code of the TAO Gift Card is personal. In case of disclosure of the code, the client assumes sole responsibility for any resulting errors or damages.

5.2.4 Claims and Disputes

Any claim regarding the use of the TAO Gift Card must be addressed to:
TAPE A L’ŒIL – Customer Service – 24 Avenue du Grand Cottignies, 59290 WASQUEHAL, via registered mail with acknowledgment of receipt or directly through the website www.taokids.com using the contact form (https://www.taokids.com/en/contact).

Any dispute arising from the use of the TAO Gift Card will be subject to French law and submitted to the competent French courts.

ARTICLE 6 – DELIVERY

6.1 Delivery Terms

The Products purchased by the Client are delivered within a maximum of thirty (30) days from the confirmation of the order to the address indicated by the Client during their order on the Site. Unless in special circumstances or unavailability of one or more Products, the ordered Products will be delivered in a single shipment.

The Company cannot be held responsible for:

  • Any errors in the information provided by the Client (including the address) and the resulting consequences in terms of delays or delivery errors.
  • Delivery delays in the event of errors or disruptions attributable to the carriers (including and particularly in the case of a total or partial strike, especially of postal services and means of transport and/or communication).

In the absence of delivery within this period for any other reason, the sale may be terminated at the written request of the Client under the conditions provided for in Articles L 138-2 and L 138-3 of the Consumer Code. The sums paid by the Client will then be returned no later than fourteen (14) days following the date of termination of the contract, excluding any compensation or deduction.

TAO also offers free delivery to one of its stores, the list of which is available on the Site, for a minimum order amount of €10.

The Client is required to check the condition of the delivered Products. They have a period of fourteen (14) days from delivery to make any complaints via the contact form (https://www.taokids.com/en/contact) or reservations or claims for non-compliance or apparent defects of the delivered Products, along with all supporting documents. After this period, and failing compliance with these formalities, the Products will be deemed compliant and free of any apparent defect, and no claims will be validly accepted by TAO.

TAO will replace or refund as soon as possible and at its own expense, the delivered Products whose apparent defects or lack of conformity have been duly proven by the Client, under the conditions provided for in Article L 211-4 of the Consumer Code and those provided for in these T&Cs.

Delivery Methods:

  • Delivery to a TAO store in mainland France (excluding sales periods and subject to change by TAO) (€3.50 - free for orders over €10): The Client must go to the chosen store with the order summary email. The Client has ten (10) calendar days from the arrival of the parcel to collect their package from the store. An email will notify the Client of the availability of their package. Exceptionally, during Private Sales and Sale periods, the Client has five (5) calendar days from the arrival of their web order to collect their package from the store.
  • Delivery to a Relay Point: €3.50 - free for orders over €60.
  • Delivery via La Poste: €5.90 in mainland France - free for orders over €80.

The Products purchased by the Client are delivered worldwide. Outside mainland France, delivery costs vary depending on the destination country of the order.

6.2 VAT Refund

6.2.1 VAT Refund in Store

Any Client who does not reside in the European Union may benefit from a VAT refund upon request at the time of payment in-store. The store will issue a document from a certified VAT refund organization and provide the client with two signed and stamped copies of a refund slip, along with pre-stamped envelopes.

6.2.2 VAT Refund for International Online Orders

Any Client who does not reside in the European Union and has placed an order in their country of residence will not be charged VAT. As such, the VAT rate will appear as 0%.

Abroad, delivery costs charged to the Client are subject to the current rates on the La Poste website.

ARTICLE 7 – RETENTION OF OWNERSHIP AND TRANSFER OF RISK

TAO retains full ownership of the Products until full payment of the price by the Client, including principal, fees, and taxes.

The transfer of risk for loss and damage of the Products occurs at the moment when the Client physically takes possession of the Products.

ARTICLE 8 – RETURNS AND EXCHANGES

8.1 Legal Basis

RIGHT OF WITHDRAWAL

In accordance with applicable legal provisions, the Client has a period of fourteen (14) days from the receipt of the Products to exercise their right of withdrawal with TAO, without having to justify reasons or pay penalties, for an exchange or refund, provided that the Products are returned in their original packaging, new, and labeled within fourteen (14) days following the notification to TAO of the Client's decision to withdraw.

In the event of exercising the right of withdrawal within the above-mentioned period, only the price of the entire order of purchased Products and the delivery costs will be refunded.

Return costs are as follows:

  • • At the Client's expense: When the delivery was made via La Poste.
  • • Free via Mondial Relay: The Client can generate a free return label on our website: https://www.mondialrelay.fr.

Exchanges (only possible in stores and subject to availability) or refunds will be processed within fourteen (14) days of receipt of the returned Products by TAO.

SATISFACTION GUARANTEE

Products ordered from the website by a Client who holds a valid loyalty card can be exchanged or refunded throughout the entire season, meaning up to the last day of the national sales season for the respective season, starting from the purchase date.

Refunds will be processed as soon as possible. Only the price of the Product will be refunded to the Client.

8.2 Conditions and Methods for Returns - Online Purchases

Returned Products must be in their original condition and complete (packaging, tags, accessories, etc.), allowing them to be resold as new. They must also be accompanied by the purchase invoice and the mandatory order number. Products that are damaged, dirty, or incomplete will not be accepted.

  • Free Exchange or Refund in TAO Stores in Mainland France:
    Refunds will be issued upon presentation of the invoice or the order summary email (including the mandatory order number).
  • Return by Mail:
    Products can be returned by the Client to the following address:
    DC1 Geodis - Retour Web TAO - Parc des Industries Artois-Flandres - 450 Rue de Bruxelles, 62138 DOUVRIN (Return costs are borne exclusively by the Client).
  • Return via Mondial Relay Point (Free Service):
    The Product must be returned with a duly completed return form. Without this information, the refund cannot be processed.

8.3 Conditions and Methods for Returns - In-Store Purchases

Returned Products must be in their original condition and complete (packaging, tags, accessories, etc.), allowing them to be resold as new. They must also be accompanied by the purchase invoice and the mandatory order number. Products that are damaged, dirty, or incomplete will not be accepted.

Free Exchange or Refund in TAO Stores in Mainland France:: Refunds will be issued upon presentation of the invoice or the order summary email (including the mandatory order number).

8.4 Refund procedures

En cas de retour d’un produit conforme aux conditions de notre politique de retour, le remboursement s’effectuera exclusivement selon les modalités suivantes :

  • If the purchase was paid for by credit card, the refund will be made to the credit card used at the time of purchase.
  • If the purchase was paid for by Paypal, the refund will be made to the Paypal account used at the time of purchase.
  • If the purchase was paid for by another means of payment (cash, card or gift voucher), a credit note for the corresponding amount will be issued, valid for 12 months from the date of issue and usable in shops and on the Site.

No refund will be made for a different method of payment from the one used at the time of purchase.

ARTICLE 9 – CHARACTERISTICS OF PRODUCTS

TAO PRODUCTS, TAO TWEENS:

The information, characteristics, photographs, and graphics presented on our website www.taokids.com or in the Newsletters sent by TAO are presented with the greatest accuracy possible. Each Product sheet presents the essential characteristics of the selected Product in accordance with article L.111-1 of the Consumer Code. This information is intended, without being exhaustive, to inform the Customer as comprehensively as possible about the essential characteristics of the Products. The Customer is informed, subject to their rights, of the possibility of a difference in presentation upon Delivery resulting from a change in packaging (photography and illustrations), this difference not affecting in any way the content and characteristics of the Product.

The information, characteristics, photographs, and graphics presented on the website www.taokids.com or in the Newsletters sent by TAO are presented with the greatest accuracy possible. Each Product sheet is written based on information provided by the manufacturer or supplier of the Product and presents the essential characteristics of the selected Product in accordance with article L.111-1 of the Consumer Code. This information is intended, without being exhaustive, to inform the Customer as comprehensively as possible about the essential characteristics of the Products. The Customer is informed, subject to their rights, of the possibility of a difference in presentation upon Delivery resulting from a change in packaging (photography and illustrations) by the manufacturer or supplier, this difference not affecting in any way the content and characteristics of the Product.

ARTICLE 10 – LEGAL WARRANTIES

10.1. FOR TAPE A L'ŒIL, TAO TWEENS BRAND PRODUCTS:

LEGAL WARRANTY OF CONFORMITY

The Products provided by TAO benefit, in accordance with legal provisions, from the legal warranty of conformity, for Products that are apparently defective, damaged, or do not correspond to the order (articles L211-4 and following of the Consumer Code).

The customer:

  • Benefits from a period of two (2) years from the delivery of the goods to take action against the Seller;
  • May choose between repair or replacement of the ordered Product, subject to the cost conditions provided for in article L 217-9 of the Consumer Code;
  • Is exempt from having to prove the existence of the non-conformity of the Product within six (6) months following the delivery of the Product. This period is extended to twenty-four (24) months from March 18, 2016, except for second-hand goods.

The legal warranty of conformity applies independently of any commercial warranty that may cover the Product.

LEGAL WARRANTY AGAINST HIDDEN DEFECTS

The Products provided by TAO benefit, in accordance with legal provisions, from the legal warranty against hidden defects arising from a defect in material, design, or manufacturing affecting the delivered Products and making them unfit for use (articles 1641 and following of the Civil Code).

This warranty is implemented if the following conditions are met:

  • The defect must be hidden, meaning not apparent at the time of purchase;
  • The defect must make the good unusable or greatly diminish its use; and
  • The defect must exist at the time of purchase.

In accordance with article 1644 of the Civil Code, the Customer may choose between:

  • The cancellation of the sale with refund of the sale price; or
  • Retention of the Product and refund of part of the sale price (i.e., a reduction in the sale price).

Exclusions from the warranty:

  • Normal wear and tear of the Product given its nature, function, composition, and price;
  • Slight differences between the Products and their representation on the site;
  • Defects resulting from improper installation, storage, preservation, or assembly (failure to follow assembly instructions), lack of maintenance, improper use, or use not in accordance with the technical or usage specifications (failure to follow maintenance and care instructions), modifications or repairs made by the Customer or a third party, damage caused by external objects, external events such as accidents, shocks, fires, vandalism, water damage, natural or artificial light (in case of discoloration), natural disasters, or inclement weather.

To assert their rights, the Customer must inform TAO in writing of the existence of hidden defects within a maximum period of two (2) years from their discovery, within twenty (20) years following the purchase. The returned Product corresponding to this must then be sent to TAPE A L'ŒIL – Quality Service – 24 Avenue du Grand Cottignies 59290 WASQUEHAL.

IMPLEMENTATION OF WARRANTIES

TAO will replace or refund the Products under warranty deemed non-conforming or defective.

Return costs will be reimbursed based on the charged rate in the form of a discount code valid on the website www.taokids.com. Refunds will be made as soon as possible and upon receipt of the item after TAO has verified the non-conformity or hidden defect, via credit to the Customer's bank account used for the order payment.

TAO's liability will not be engaged in the following cases:

  • Non-compliance with the legislation of the country where the Products are delivered, which it is the Customer’s responsibility to verify,
  • In case of misuse, use for professional purposes, negligence, or failure to maintain by the Customer, as well as in cases of normal product wear, accidents, or force majeure.
  • TAO's warranty is, in any case, limited to the replacement or refund of non-conforming Products or those affected by a defect.
  • The photographs and illustrations accompanying the Products on the Site have no contractual value and therefore cannot engage the responsibility of TAO.

10.2. FOR PARTNER BRAND PRODUCTS:

The Customer is expressly informed that the company TAPE A L'ŒIL SAS is not the manufacturer of the products presented on the website https://www.taokids.com/en/marques-et-partenaires / Partner Brand product selection, within the meaning of law no. 98-389 of May 19, 1998, relating to liability for defective products.

Consequently, in the event of damage caused to a person or property by a defective product, only the responsibility of the manufacturer of the product can be sought by the Customer, based on the information on the packaging of the said product.

Furthermore, the company TAPE A L'ŒIL SAS reminds that the products, services, and information offered by TAPE A L'ŒIL / PARTNER BRANDS in no way replace the constant vigilance of adults.

ARTICLE 11 – RESPONSIBILITIES

It is agreed and accepted by the Customer that TAO is only responsible for an obligation of means and not an obligation of result.

TAO cannot be held responsible:

  • For any event that occurred in a force majeure context, in accordance with article 1218 of the Civil Code and case law;
  • In case of non-compliance with the legislation of the country where the product is delivered. The Company guarantees the compliance of the Products offered on its Site only with the legislation and standards applicable in France;
  • In case of damage linked to non-compliance with the Product instructions;
  • In case of improper use of the Products contrary to customary practices, the usual rules of caution, usage recommendations, provided instructions, negligence, or failure to maintain by the Customer, as well as in case of fault or events entirely attributable to the Customer or a third party;
  • For indirect damages that may arise from the purchase of the Products;
  • For the quality and compatibility of the Site with the specific uses made by the Customers;
  • For interruptions in access to all or part of the Site during correction, update, or maintenance operations of the Site and any resulting damage to the Customer;
  • For breakdowns, errors, or computer viruses that may obstruct continuous access to the Site;
  • For malfunctions in the Customer’s computer installation following access to the Site;
  • For performance failures of the Site and changes to the Site that may occur due to the quality of the Internet network and/or technical configurations;
  • For direct or indirect damages that may be related to the use, access to the Site, or downloading of elements stored on the Site (images, texts, video files, hyperlinks, etc.).

In the event that TAO’s responsibility is engaged, the repair will apply only to the direct, personal, certain, and foreseeable damages, excluding all indirect damages and/or prejudices, including any loss of business.

In any case, TAO’s liability will be limited to the amount of the order and cannot be held responsible for simple errors or omissions that may have remained despite all precautions taken in presenting the Products.

ARTICLE 12 – PERSONAL DATA

The Company, as the data controller, attaches great importance to the protection and respect of the privacy of its Clients and their personal data and undertakes to comply with the applicable regulations, including Regulation (EU) 2016/679 of the European Parliament and the Council of April 27, 2016, and Law No. 78-17 of January 6, 1978, relating to data processing, files, and freedoms.

The Company collects and processes the personal data of its Clients in order to manage the various stages of the order, respond to inquiries, and conduct satisfaction surveys following an order. The Client has the right to access, rectify, withdraw consent, object to, and delete their personal data. They can also request the limitation and portability of their data.

All information provided by the Client to the Company must be accurate, complete, and up-to-date. Whenever there is a change in their situation, the Client must update their information by accessing their account.

The Client agrees to read and accept the Company’s privacy policy concerning the processing of personal data. Contractual information related to orders is archived by the Company for the period required by law.

When creating their account, the Client chooses a personal and confidential password to ensure the security of their Account and agrees to:

  • Not disclose the password to third parties;
  • Take the necessary precautions to prevent third parties from accessing it;
  • Take measures to prevent a third party from accessing the account, even without the Client's knowledge;
  • Not grant access to their account to a third party (lending, sharing, exchanging, donating, buying, transferring, and selling accounts are prohibited and unenforceable by the Company);
  • Not use a third party's account;
  • Use a personal email address and not share this email address; and
  • Allow the Company to contact them via their email address.

The Client is solely responsible for the security and confidentiality of their password, the use of their account, and any connection or transmission of data made using their password, which will be deemed to have been made by the Client and under their responsibility.

The data recorded and stored by the Company constitutes proof of the order and all transactions.

The Client is invited to inquire about the privacy policy of the Site of the platform through which the orders are placed.

ARTICLE 13 – INTELLECTUAL PROPERTY

All elements present on the Site related to TAO, such as, but not limited to, images, photographs, videos, graphic charter, sound elements, logos, designs, domain names, texts, and fonts, belong to TAO and constitute works protected by the provisions of the Intellectual Property Code.

Under French copyright law, TAO holds the rights to its Products and, more generally, to the illustrations, images, and logos reproduced on its items.

Any total or partial reproduction, modification, and/or use of these elements for any reason and on any medium whatsoever, without the express and prior agreement of TAO, is strictly prohibited. The creation of derivative works from these elements is strictly prohibited.

No transfer of intellectual property rights is made through these terms. Any reproduction, even partial, modification, or use of these elements protected by exclusive rights for any reason whatsoever is strictly prohibited and will constitute an act of infringement, punishable both criminally and civilly.

Any use, notably and without limitation, in the press or on social networks, of content derived from the elements related to the Company present on the Site must mention the name "TAO" or "TAPE A L'ŒIL."

Any creation of a hyperlink from a website to the Site must be subject to prior authorization and will be removed upon simple request from TAO.

ARTICLE 14 – MISCELLANEOUS

14.1. Partial Invalidity

If one or more clauses of these GTC are deemed invalid or declared as such under a law, regulation, or as a result of a final decision by a competent court, the other clauses shall retain their full force and effect.

14.2. Non-waiver

The fact that TAO or the Client has not enforced the application of any clause of these GTC, whether permanently or temporarily, shall in no case be considered as a waiver of the rights of that Party arising from the said clause.

14.3. Force Majeure

The Parties shall be considered as having failed to fulfill their contractual obligations only if they can demonstrate that the hindrance is due to the occurrence of a force majeure event, as defined in Article 1218 of the Civil Code and clarified by case law, and that the concerned Party informed the other Party within fourteen (14) calendar days of the occurrence of such an event by registered letter with acknowledgment of receipt. All obligations of the Parties shall be suspended during the duration of the force majeure event, without indemnity. If the force majeure event lasts more than three (3) months, the sales contract may be terminated by either Party without indemnity.

14.4. Evidence

The Parties expressly agree that emails shall be valid evidence, as well as the automatic recording systems used on the Site, notably regarding the nature and date of the order.

14.5. Entirety of the Agreement

These GTC and the order summary transmitted to the Client form a contractual whole and constitute the entirety of the contractual relations between the Parties.

14.6. Resale of Products

The resale of Products in the first-hand by the Client is strictly prohibited.

14.7. Applicable Law – Competent Jurisdiction

These GTC are subject to French law. Any dispute relating to the performance of these terms shall fall under the exclusive jurisdiction of French courts. Any dispute relating to the existence, interpretation, execution, or termination of a contract concluded between TAO and the Client will be subject to an attempt for amicable resolution. Failing this, the dispute shall fall under the exclusive jurisdiction of French courts.

14.8. PRE-CONTRACTUAL INFORMATION – ACCEPTANCE OF THE CLIENT

The Client acknowledges having been provided with, prior to the conclusion of the contract, in a clear and comprehensible manner, these GTC and all the information referred to in Articles L 111-1 and L111-7 of the Consumer Code, and in particular:

  • the essential characteristics of the Product, taking into account the communication medium used and the Product concerned,
  • the price of the Products and additional fees (such as delivery),
  • in the absence of immediate execution of the contract, the date or period within which TAO agrees to deliver the Product,
  • information regarding TAO’s identity, its postal, telephone, and electronic contact details, and its activities, if they are not apparent from the context,
  • information relating to legal and contractual warranties and their implementation procedures,
  • the functionalities of digital content and, if applicable, its interoperability,
  • the possibility of resorting to conventional mediation in case of a dispute,
  • information relating to the right of withdrawal (existence, conditions, time limits, methods of exercising this right and standard withdrawal form), return shipping costs, conditions of termination, and other important contractual terms.

ARTICLE 15 - GENERAL TERMS AND CONDITIONS OF USE OF THE "My TAO Community" LOYALTY CARD

The following general terms and conditions of membership in the TAPE A L'ŒIL loyalty program by purchasing the loyalty card (hereinafter the "My TAO Community Card") are concluded between:

  1. TAPE A L'ŒIL, a Simplified Joint Stock Company (Société par Actions Simplifiée) with variable capital, whose registered office is located in WASQUEHAL (59290) – 24 Avenue du Grand Cottignies, registered with the Lille Metropole Trade and Companies Register under number 389.632.639.
    Hereinafter referred to as "TAPE A L'ŒIL"
  2. Any individual wishing to join the TAPE A L'ŒIL loyalty program or use their "My TAO Community" card in TAPE A L'ŒIL stores or on the website www.taokids.com.
    Hereinafter referred to as the "Beneficiary"

15.1. Acceptance of the General Terms and Conditions of Use of the "My TAO Community" Card

The Beneficiary acknowledges having read and accepted these general terms and conditions, available in-store or on the website www.taokids.com.

TAPE A L'ŒIL reserves the right to modify these terms and conditions of use for its loyalty program at any time, suspend it, or remove it.

15.2. Membership in the TAPE A L'ŒIL "My TAO Community" Loyalty Program

The purchase of the MY TAO COMMUNITY card can be made in all TAPE A L'ŒIL stores in mainland France, Belgium, and on the website www.taokids.com.

Its price is three (3) euros per year. This price is subject to change.

The MY TAO COMMUNITY card is dematerialized. No physical shipment will be made in case of a purchase or renewal of the card.

TAPE A L'ŒIL reserves the right to request any supporting documents for the information provided by the beneficiary (including personal information, children's identity, children's date of birth, etc.).

15.3. Validity

The MY TAO COMMUNITY card is valid in TAPE A L'ŒIL stores and on the website www.taokids.com for one (1) year from the date of purchase.

The MY TAO COMMUNITY card is strictly personal (a person may only hold one card) and cannot, under any circumstances, be transferred, sold, or used for purposes other than those defined in these general terms and conditions.

In case of violation, TAPE A L'ŒIL reserves the right to cancel the relevant loyalty card and/or any related orders.

The card cannot, under any circumstances, be refunded or exchanged for store credit.

15.4. Benefits of the "My TAO Community" Card

Customer Status:

Based on the number of purchases* made in the last twelve (12) months, members of the MY TAO COMMUNITY loyalty program can have three different statuses, granting them access to personalized benefits:

  • LIKE status upon joining the program
  • LOVE status after 3 purchases
  • VIP status after 9 purchases

The status change is automatically applied once the 3rd and/or 9th purchase is made.

*For any purchase greater than 0€, with a limit of one purchase counted per day.

Points Accumulation: : By presenting the MY TAO COMMUNITY card in-store or simply providing the Beneficiary's name, or online, purchases allow the Beneficiary to accumulate points in their loyalty account at the time of each purchase. This points balance can be used multiple times, without a minimum purchase, during its validity period. In case of refund of items, the points earned from these products will be deducted from the Beneficiary's loyalty account. Any unused points will carry over to future purchases.

Points will be credited in the following ways:

  • 5% of all new purchases from Tape à l’Œil (excluding ongoing points promotions), second-hand items, and partner brands will be credited to the loyalty account the day after the purchase.
  • NEWLIFE second-hand sales: The voucher credited after Tape à l’Œil reuses clothing will be added to the loyalty account.

The loyalty account is valid for the entire duration of the customer's membership. After the expiration of the loyalty membership, the points will be frozen for 3 months and can be recovered by renewing the membership. After this 3-month period, any remaining points will be permanently lost.

Points can be used by the Beneficiary in-store or on the website www.taokids.com to pay for purchases.

Children’s Birthdays:
For the first to the sixteenth birthday of children registered on the Beneficiary's card, the card grants a birthday voucher worth five (5) euros, available in the Beneficiary’s account. This voucher can only be used once (whether the full amount is used or not), in-store, on www.taokids.com or www.taokids.be.

The voucher is valid from 15 days before the child's registered birthday date to 30 days after. The birthday voucher is non-exchangeable and non-refundable.

The Customer cannot accumulate more than five (5) birthday vouchers per year.

Exchanges Valid Throughout the Season:
Products purchased or ordered on www.taokids.com by a customer with a valid MY TAO COMMUNITY loyalty card can be exchanged or refunded (only the price of the product will be refunded to the customer) throughout the season, meaning until the last day of the national sales of the relevant season from the date of purchase.

Welcome Offer:
An eight-euro (8€) voucher is activated the day after joining the MY TAO COMMUNITY program, only once per customer account, during the first subscription to the MY TAO COMMUNITY loyalty program (subject to the 3€/year membership fee). This voucher is valid for forty-five (45) days from its activation date and can be used only once for a purchase of eight euros (8€) or more.

MY TAO Prices: Members of the MY TAO COMMUNITY loyalty program benefit from preferential prices on a selection of products. These MY TAO prices cannot be combined with other offers and promotions. For any discount, the public price will apply as the reference price. Subject to availability.

Referral Program: Members of the MY TAO COMMUNITY loyalty program with LOVE or VIP status can refer an unlimited number of people by sharing their unique "referral code" available in their customer account.

The referral program provides specific benefits for both the referrer and the referee:

For the referee:
• An immediate discount of 8€ on a purchase of 8€ or more after applying the discount, with the referral code during subscription/renewal of the MY TAO COMMUNITY program, presented at the checkout or entered in the basket. The offer is valid only once per customer account when subscribing or renewing the MY TAO COMMUNITY program (subject to the 3€/year membership fee).

For the referrer:
• A referral voucher worth 8€, activated within 48 hours after the referral's membership in the MY TAO COMMUNITY program using the referral code. The voucher is strictly personal, valid for 45 days from activation, and can be used once for a purchase of 8€ or more.

These benefits are valid in all TAPE A L'ŒIL stores in mainland France, Belgium, Luxembourg, and Spain, on www.taokids.com, www.taokids.be, or www.taokids.es, as well as on the MY TAO mobile app. These discounts are non-exchangeable, non-refundable, and non-divisible. Not valid on gift card purchases, shipping fees, bags or shopping bags, gift boxes, or loyalty program membership.

NEWLIFE Tape à l’œil products from previous collections that meet the return conditions are repurchased during NEWLIFE collection periods at participating stores. VIP Privilege: Invitation to exclusive events only for VIP-tier customers.

15.5. Renewal

Thirty (30) days before its expiration date, and again on the day of expiration, the Beneficiary will be notified by TAPE A L'ŒIL via email or SMS about the option to renew their card. Upon the expiration of the loyalty membership, the points balance will be frozen for three (3) months and can be recovered by the customer when renewing their membership. After this three (3) month period, the points will be permanently lost. The membership fee is three (3) euros. This fee may be subject to change. Renewing the membership does not entitle the recipient to a new card.

15.6. Personal Data

As part of the MY TAO COMMUNITY loyalty program subscription, TAPE A L'ŒIL collects personal data about the Beneficiary. This information is subject to computer processing intended to allow TAPE A L'ŒIL to handle the Beneficiary's requests, provide them with the benefits of the loyalty program, and send them offers from TAPE A L'ŒIL. The recipient of this data is TAPE A L'ŒIL.

15.7. Removal of the Card

Any violation of these General Terms and Conditions, any abusive or fraudulent use of the benefits offered by the MY TAO COMMUNITY card, any behavior detrimental to the interests of TAPE A L'ŒIL, or any falsification of the information provided by a Customer or a third party acting on behalf of a Customer, will result in the automatic removal of the said Customer, cancellation of their points or benefits obtained, without any compensation and without prior notice.

TAO reserves the right to take any action it deems necessary in the case of incorrect or false statements during registration and/or any abusive or fraudulent use of the MY TAO COMMUNITY loyalty program.
